3. Client Obligations

As a client, you agree to:

• Provide accurate and complete information required for service delivery
• Grant necessary access to your website, analytics, and relevant accounts
• Respond to our communications in a timely manner
• Review and approve deliverables within agreed timeframes
• Comply with all applicable laws and regulations
• Not engage in practices that violate search engine guidelines
• Make timely payments according to agreed terms

4. Fees and Payment

Service fees will be specified in individual proposals or agreements. All prices are in British Pounds and exclude VAT unless otherwise stated.

Payment terms:

• Invoices are payable within 14 days of issue unless otherwise agreed
• Monthly retainer services are billed in advance
• Project-based work may require a deposit before commencement
• Late payments may incur interest charges

5. Intellectual Property

You retain all rights to your pre-existing content, trademarks, and intellectual property. You grant us a licence to use this content solely for providing our services.

Upon full payment, you receive ownership of deliverables created specifically for you. We retain rights to our methodologies, templates, and tools.

6. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, consequential, or special damages including lost profits, lost revenue, or lost data
• We are not liable for search engine algorithm changes, penalties resulting from your actions, or competitor activities

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

7. Dispute Resolution

In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiations.

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
